Tokyo Ndlela is an admitted attorney of the High Court of South Africa. He served his articles at a law firm operating within the energy sector, primarily dealing with petroleum law and representing multinational oil companies, fuel retailers and prominent property developers. He has also worked for Hogan Lovells International LLP (an international law firm), where he dealt with various commercial and compliance matters. He currently serves as the Vice Chairperson of the Southern African Institute of Mining and Metallurgy (which is a globally recognised body that oversees the Southern African mining industry) ["SAIMM"] Young Professionals Council.

Tokyo has extensively advised entities along the minerals value chain, inclusive of mining companies, plant hire companies, mining communities, royal families and commodity trading companies. He has intimately dealt with the operations at mining sites by establishing SOPs, corporate governance and compliance structures, and attended to meetings at the DMRE’s regional office, in order to address objections, appeals and section 54 presentations.

Tokyo has further assisted with the mergers and acquisitions of mining companies and the strategic diversification of such companies investment portfolio within the private equity space. He has advised and managed the subsidiary companies within the client’s group of companies and further attended to all labour concerns, ranging from employment contracts, policy development, chairing of hearings, representation at the CCMA and attending to section 189 dismissals.

Tokyo is an active participant in lobbying for legislative changes and commentary on Bills affecting the mining and energy sectors, through his involvement in SAIMM, where he serves as a member of the Policy, Advocacy and Public Affairs Committee.

Overview of Key Projects

Facilitated the joint venture between a mining company and commodity trading company that resulted in the generation of revenue from the sales of the commodity amounting to more than R500 million.

Involved in the purchase of a mining right for a chrome mining site based in North West from Chrometco (a JSE listed mining company) that amounted to more than R30 million and facilitated the section 11 mining rights transfer process.

Involved in the acquisition of multiple companies within the technology, healthcare, logistics and plant hire industries for the purpose of diversifying the client’s investment portfolio, which amounted to more than R20 million.

Facilitated the acquisition of a licensed asset management firm on behalf of a mining company, by conducting the necessary due diligence and drafting the applicable contracts.

Established the corporate governance structure for a mining company’s board (as a company secretary and fellow board member) and further instituted policies and departmental structures that encompass over 500 employees.

Involved in the dealmaking process for a Dubai-based energy company to begin an energy project in Italy, which amounted to more than $5 million.

Facilitated and managed a joint venture arrangement with the Batlhako ba Matutu community and a mining company in order to achieve the objectives of the SLP, which involved the construction of a private hospital in Mabeskraal. The value of the project is above R50 million.

Represented the Bapedi Royal Family in corresponding with Bauba Resources Ltd (which is owned by Raubex Group Ltd, a JSE listed company) in ensuring that the correct processes were followed in a transaction amounting to more than R40 million.

Involved in the purchase of a mining right for platinum mining site and processing plant based in Limpopo from Chrometco (a JSE listed mining company) that amounted to more than R200 million and facilitated the section 11 mining rights transfer process.

Involved in the acquisition of a NFD level soccer team based in South Africa, which amounted to more than R5 million.

Represented the Bakubung ba Ratheo Traditional Authority in dealing with Wesizwe Platinum Mine (a JSE listed company) in order to achieve their SLP, which is valued above R15 million.
