Tokyo Ndlela is the Managing Partner of Tokyo Ndlela Attorneys Inc, where he advises mining, energy and investment businesses on regulatory strategy, transactions, governance and stakeholder risk across Southern Africa.

He is trusted by clients operating in highly regulated and capital-intensive environments to structure, protect and advance commercial objectives where law, policy, capital and operations intersect. His work spans the full minerals value chain, including mining companies, commodity traders, plant hire businesses, investment vehicles and private family enterprises.

Tokyo has extensive experience advising on mining and energy regulatory frameworks, environmental compliance, ESG governance, and transactional matters. He has led engagements involving regulatory objections, appeals and Section 54 processes, and regularly interfaces with regulators, industry bodies and stakeholders to unlock projects and mitigate operational risk.

His transactional experience includes advising on joint ventures, mergers and acquisitions, mining rights acquisitions and Section 11 transfers, as well as the strategic diversification of investment portfolios within the private equity and alternative investment space. He has acted as lead legal and strategic advisor on transactions generating revenues in excess of R500 million.

In addition to advisory and transactional work, Tokyo has advised on corporate governance, compliance architecture and operational frameworks for mining and investment businesses, including the establishment of SOPs, subsidiary governance structures and labour-related risk management, ranging from employment frameworks to CCMA and Section 189 processes.

Tokyo is actively involved in industry policy and advocacy and currently serves as Vice Chairperson of the SAIMM Young Professionals Council, a globally recognised body within the Southern African mining industry. He also serves on policy and advocacy platforms contributing to legislative commentary and reform affecting the mining and energy sectors.

His practice is defined by a pragmatic, commercially focused approach—providing senior-level legal and strategic support to clients navigating complex regulatory landscapes while pursuing growth, capital deployment and long-term sustainability.

Overview of Key Projects

Joint Ventures & Commercial Transactions

 Acted as lead legal and strategic advisor on the formation of a joint venture between a mining company and a commodity trading business, resulting in commodity sales revenue in excess of R500 million.

Advised on the acquisition and strategic diversification of a client’s investment portfolio through multiple acquisitions across the technology, healthcare, logistics and plant hire sectors, with an aggregate transaction value exceeding R20 million.

Acted for a mining company in the acquisition of a licensed asset management firm, leading the legal due diligence process and drafting the transaction and regulatory documentation.

Advised on the acquisition of a National First Division (NFD) soccer club in South Africa, with a transaction value exceeding R5 million.

Mining Rights, Regulatory & Energy Projects

Acted as lead advisor on the acquisition of a chrome mining right in the North West Province from Chrometco Limited (a JSE-listed mining company), with a transaction value exceeding R30 million, including the successful facilitation of the Section 11 mining right transfer process.

Advised on the acquisition of a platinum mining right and processing plant in Limpopo Province from Chrometco Limited, with a transaction value exceeding R200 million, including regulatory approvals and Section 11 transfer processes.

Advised a Dubai-based energy company on the structuring and commencement of an energy project in Italy, with a project value exceeding USD 5 million.

Corporate Governance & Board Advisory

Established and implemented the corporate governance framework for a mining company, acting as Company Secretary and board-level advisor, including the development of governance policies and departmental structures impacting an organisation of more than 500 employees.

Community, Stakeholder & Royal Family Representation

Acted as lead advisor on a joint venture between the Batlhako ba Matutu community and a mining company to fulfil Social and Labour Plan (SLP) obligations, including the development of a private hospital in Mabeskraal, with a project value exceeding R50 million.

Represented the Bapedi Royal Family in engagements with Bauba Resources Limited (owned by Raubex Group Limited, a JSE-listed company), ensuring regulatory and governance compliance in a transaction exceeding R40 million.

Represented the Bakubung ba Ratheo Traditional Authority in negotiations with Wesizwe Platinum Limited (a JSE-listed company) in relation to the implementation of Social and Labour Plan obligations valued in excess of R15 million.
